BI: Reorganisations will be much more expensive. The opinion of the Head of KAS will have to be paid for
Amendments to the Code of Commercial Companies (Journal of Laws 2023, item 1705) introduced major changes to the transformation, merger and division of companies as of 15 September. This concerns both domestic and cross-border reorganisations, writes Business Insider Polska.
– The changes introduced in the legislation will significantly increase the costs of cross-border restructurings and may affect the assessment of whether the method of restructuring adopted by the group was the most natural from a tax perspective, comments Marek Kończak, legal adviser and senior manager at Thedy & Partners.
– Taking into account the scope of information required in the application to the Head of KAS and the potential consequences of a refusal to issue an opinion, it seems that its proper drafting will in practice require the involvement of a tax adviser, believes Marek Kończak. In his opinion, this will increase the costs of cross-border restructuring, inter alia, because a fee will have to be paid for the opinion of the Head of KAS.
